2. Definitions

For the purposes of these Terms and Conditions:

  • "Platform" refers to the Privmember website and associated digital services
  • "Member" refers to individuals who have registered for Privmember services
  • "Partner Facilities" refers to resorts, hotels, gyms, and wellness centers in our network
  • "Services" refers to access privileges and benefits provided through Privmember

3. Membership Eligibility

To become a Privmember member, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain current and accurate account information
  • Have the legal capacity to enter into binding agreements
  • Comply with all applicable laws and regulations

4. Account Registration and Security

When you create an account with Privmember:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to notify us immediately of any unauthorized access
  • You are responsible for all activities under your account
  • You may not share your account credentials with others
  • We reserve the right to suspend or terminate accounts that violate these terms

5. Membership Benefits and Access

As a Privmember member, you receive:

  • Access to partner facilities within the UAE
  • Use of amenities as specified in your membership level
  • Priority reservation privileges where available
  • Integration with fitness tracking devices
  • Personalized wellness recommendations

Access is subject to facility availability, operating hours, and individual facility policies.

6. Member Responsibilities

As a member, you agree to:

  • Follow all rules and regulations of partner facilities
  • Treat facility staff and other members with respect
  • Use equipment properly and safely
  • Report any safety concerns or equipment issues immediately
  • Arrive on time for reservations or cancel with appropriate notice
  • Dress appropriately for fitness and wellness activities
  • Not engage in any illegal or inappropriate behavior

7. Reservations and Cancellations

For classes, personal training sessions, and spa treatments:

  • Reservations must be made through the Privmember platform
  • Cancellations should be made at least 24 hours in advance
  • Repeated no-shows may result in temporary restriction of reservation privileges
  • Some facilities may have their own cancellation policies

8. Guest Privileges

Members may bring guests to select facilities subject to:

  • Guest limits specified in your membership level
  • Individual facility guest policies
  • Availability and capacity restrictions
  • Members being responsible for their guests' conduct

9. Health and Safety

Members acknowledge and agree that:

  • Physical activities carry inherent risks
  • You are responsible for determining your fitness level
  • You should consult healthcare professionals before beginning any fitness program
  • You will follow all safety instructions and guidelines
  • Privmember is not liable for injuries or health issues resulting from facility use

10. Partner Facility Policies

Each partner facility maintains its own:

  • Operating hours and holiday schedules
  • Dress codes and equipment requirements
  • Safety rules and age restrictions
  • Photography and recording policies
  • Food and beverage policies

Members must comply with all facility-specific policies.

11. Privacy and Data Protection

Your use of Privmember services is also governed by our Privacy Policy. We collect, use, and protect your personal information as described in that policy. By using our services, you consent to our data practices.

12. Intellectual Property

All content on the Privmember platform, including:

  • Text, graphics, logos, and images
  • Software and functionality
  • Trademarks and branding

Are the property of Privmember or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.

13. Prohibited Conduct

Members may not:

  • Use the platform for any unlawful purpose
  • Impersonate others or provide false information
  • Interfere with platform functionality or security
  • Harass, threaten, or harm other members or staff
  • Violate any facility rules or regulations
  • Engage in commercial activities without authorization
  • Attempt to gain unauthorized access to any systems

14. Membership Fees and Payments

Regarding membership fees:

  • Fees are specified at the time of enrollment
  • Payment methods and schedules are established during registration
  • Fees are subject to change with reasonable notice
  • Refunds are governed by our refund policy
  • Failure to pay may result in suspension or termination of membership

15. Membership Suspension and Termination

Privmember reserves the right to suspend or terminate memberships for:

  • Violation of these terms and conditions
  • Violation of facility rules and policies
  • Inappropriate or unsafe behavior
  • Non-payment of fees
  • Fraudulent activity

Members may cancel their membership according to the cancellation policy provided at enrollment.

16. Changes to Partner Network

Privmember may:

  • Add or remove partner facilities from the network
  • Modify available amenities and services
  • Adjust access hours and availability
  • Update membership benefits

We will make reasonable efforts to notify members of significant changes.

17. Limitation of Liability

To the maximum extent permitted by law:

  • Privmember is not liable for injuries, accidents, or health issues
  • We are not responsible for lost or stolen property
  • We are not liable for partner facility actions or omissions
  • Our liability is limited to the amount of membership fees paid
  • We are not liable for indirect, incidental, or consequential damages

18. Indemnification

You agree to indemnify and hold harmless Privmember, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the platform and services
  • Your violation of these terms
  • Your violation of any laws or third-party rights

19. Dispute Resolution

Any disputes arising from these terms or your use of Privmember services shall be:

  • First attempted to be resolved through good faith negotiation
  • Governed by the laws of the United Arab Emirates
  • Subject to the exclusive jurisdiction of UAE courts

20. Force Majeure

Privmember is not liable for failure to perform obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.

21. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

22. Modifications to Terms

Privmember reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to the website. Continued use of services after changes constitutes acceptance of the modified terms.

23. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Disclaimer, and Cookie Policy, constitute the entire agreement between you and Privmember regarding use of our services.
